TERMS OF SERVICE

1. Acceptance Of Terms

These Terms of Service ("Terms") govern your access to and use of PerMile ("Service") provided by PerMile ("we", "us", "our"). By creating an account, accessing the Service, or using PerMile in any way, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Service.

2. The Service

PerMile is a software service that helps owner-operators and fleet owners track their profit per mile, expenses, loads, and revenue. Features include:

• Profit dashboard and analytics
• AI-powered receipt and document scanning
• Revenue and cost per mile calculations
• Pre-load profitability calculator
• Weekly text summary reports
• Multi-truck fleet management (Fleet plan)

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice.

3. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use PerMile. By using the Service, you represent that you meet these requirements.

4. Account Registration

To use PerMile, you must create an account with accurate, current, and complete information. You are responsible for:

• Maintaining the security of your password
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access
• Keeping your contact information up to date

5. Subscriptions And Payment

Pricing

PerMile offers subscription plans starting at $69/month for Solo Operators and $199/month for Fleet Owners. Current pricing is available at permile.io. We reserve the right to change pricing with 30 days' notice.

Billing

Subscriptions are billed monthly or annually in advance. Payments are processed through Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis.

Free Trial

We may offer a free trial period. After the trial ends, your subscription will automatically continue at the standard rate unless you cancel before the trial ends.

Refunds

Subscription fees are non-refundable except where required by law. If you cancel, you retain access through the end of your current billing period.

Late Payment

If your payment fails, we may suspend or terminate your account. You remain responsible for any outstanding fees.

6. Acceptable Use

You agree NOT to:

• Use the Service for any unlawful purpose
• Submit fraudulent, fake, or misleading data
• Attempt to access another user's account or data
• Reverse engineer, copy, or resell the Service
• Use the Service to send spam or unsolicited messages
• Interfere with or disrupt the Service
• Upload viruses, malware, or harmful code
• Use the Service in a way that violates carrier or telecommunications regulations

7. Your Data

You retain ownership of all data you submit to PerMile (loads, receipts, expenses, financial information). By using the Service, you grant us a limited license to process this data solely to provide the Service to you.

We will not sell your data or share it with third parties for marketing purposes. See our Privacy Policy for details.

8. SMS Messaging Terms

By providing your phone number you consent to receive SMS messages from PerMile. Messages may include receipt confirmations, profit summaries, and account notifications. Standard message and data rates from your carrier may apply. Reply STOP to any message to opt out. Reply HELP for assistance.

9. No Financial, Tax, Or Legal Advice

Always consult a qualified accountant, tax professional, or financial advisor for advice specific to your situation. We make no guarantees about the accuracy of profit calculations, tax estimates, or business projections shown in the Service.

10. Service Availability

We strive to keep the Service available 24/7 but do not guarantee uninterrupted access. The Service may be unavailable due to maintenance, updates, or events beyond our control. We are not liable for any losses caused by Service downtime.

11. Intellectual Property

The PerMile name, logo, software, designs, and all related intellectual property are owned by us. You may not copy, modify, distribute, or create derivative works without written permission.

12. Termination

By You

You may cancel your subscription at any time through your account settings or by emailing hello@permile.io. Cancellation takes effect at the end of your current billing period.

By Us

We may suspend or terminate your account at any time for violation of these Terms, non-payment, or any reason we deem necessary. We will provide reasonable notice except in cases of serious violations.

Effect Of Termination

Upon termination, your access to the Service ends. We may retain your data for a reasonable period for legal and operational purposes. You can request deletion at any time.

13. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS.

14. Limitation Of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, PERMILE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to defend, indemnify, and hold harmless PerMile from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

16. Governing Law

These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in New Jersey.

17. Changes To These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance.
